Understanding your rights and responsibilities when using MAIC services.

These Terms of Service ("Terms") constitute a legal agreement between you ("User", "you") and MAIC LLC ("MAIC", "we", "our", "us"), governing your access to and use of MAIC’s products, services, websites, and applications (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use our Services.

2. Description of Services

MAIC provides a suite of technology products and services, including:

  • Waffle: Digital wallet integration tools that allow businesses and developers to issue, manage, and analyze digital cards, passes, tickets, and keys within Apple Wallet, Google Wallet, and compatible platforms.
  • Mango: Agricultural technology solutions for supply chain management.
  • Consulting Services: Custom software engineering, data strategy, and AI implementation.

Our Services include APIs, SDKs, dashboards, documentation, analytics, and support tools for secure tokenization and provisioning of payment cards, loyalty programs, and identification credentials.

3. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use MAIC’s Services. By using our Services, you represent that you meet these requirements.

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity under your account. MAIC is not liable for any loss resulting from unauthorized access.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations.
  • Upload or distribute fraudulent or unauthorized digital passes.
  • Infringe upon intellectual property or privacy rights of others.
  • Attempt to gain unauthorized access to MAIC’s infrastructure or data.
  • Use automated systems (e.g., bots or scrapers) to abuse our API.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to trademarks, logos, software, and documentation, are owned by MAIC LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Third-Party Services

Our Services may integrate with or link to third-party providers, such as Apple Inc. and Google LLC. MAIC is not affiliated with or endorsed by these entities. Their respective terms and privacy policies govern your use of their services.

8. Privacy

Your privacy is important to us. Please refer to our Privacy Policy to understand how we collect, use, and protect your personal data.

9. Service Availability and Updates

MAIC may modify, suspend, or discontinue any part of the Services at any time without notice. We also reserve the right to update these Terms to reflect changes in technology, legal standards, or service improvements.

10. Fees and Payments

Certain features or integrations may be subject to fees. By using these features, you agree to pay all applicable charges and taxes promptly. All payments are non-refundable unless otherwise required by law.

11. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. MAIC makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be error-free or uninterrupted.

12. Limitation of Liability

To the maximum extent permitted by law, MAIC LLC and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or goodwill, arising from your use of the Services, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless MAIC LLC, its officers, employees, and partners from any claims, damages, or liabilities arising from your use of the Services or violation of these Terms.

14. Termination

MAIC may suspend or terminate your access to the Services at any time, with or without cause, if you breach these Terms or engage in conduct that may harm MAIC or other users.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Delaware.

16. Changes to These Terms

We may revise these Terms from time to time. The updated version will be effective as of the “Last updated” date above. Continued use of the Services after any changes constitutes acceptance of the revised Terms.
